Nordy — Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and SIXSIDE MARKETING INC., a corporation registered in Ontario, Canada (corporation number 1001318957) ("Nordy", "we", "us"), governing your use of the Nordy application and any related services.

By downloading, installing, or using Nordy, you agree to these Terms. If you do not agree, do not use Nordy.

1. Eligibility

You must be at least 13 years old (16 in the European Economic Area and the United Kingdom, or the higher minimum age set by the law where you live) to use Nordy. If you are under the age of majority where you live, you may use Nordy only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

You confirm you are not barred from using Nordy under the laws of your country, and that you are not located in a country subject to a comprehensive US embargo or listed on any US government restricted-party list.

2. Your licence

We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use Nordy on Apple-branded devices you own or control, as permitted by the App Store Terms of Service and by these Terms.

You may not, and may not permit anyone else to:

• copy, modify, translate, or create derivative works of Nordy;
• reverse engineer, decompile, or disassemble any part of Nordy, except to the extent that applicable law expressly permits it despite this limitation;
• rent, lease, lend, sell, sublicense, or distribute Nordy;
• remove or obscure any proprietary notice;
• use Nordy to build a competing product, or to train a machine-learning model on its content or artwork;
• circumvent, disable, or interfere with security or access-control features, including the Ward;
• use automated means to access Nordy, or use it in any unlawful way or for any unlawful purpose.

3. Ownership

Nordy, including its software, design, artwork, illustrations, characters, names, copy, sound, and all associated intellectual property, is owned by SIXSIDE MARKETING INC. and its licensors and is protected by copyright, trademark, and other laws. These Terms grant you a licence, not a sale. All rights not expressly granted are reserved.

"Nordy" and its logos are our trademarks. You may not use them without our prior written permission.

4. Your content

Content you create in Nordy — your habits, notes, entries, and progress — is yours. It is stored on your device as described in our Privacy Policy. We claim no ownership of it.

Because that content lives on your device, you are responsible for backing it up. Uninstalling Nordy, resetting your device, or losing it may result in permanent loss of your data, and we cannot recover it for you.

You are responsible for the lawfulness of anything you enter, and you must not enter content that is unlawful or that infringes anyone's rights.

5. Accounts

The only account Nordy offers is Sign in with Apple. You may also continue as a guest, in which case there is no account at all.

If you sign in with Apple, Apple controls your credentials. Your password, and any reset of it, is managed entirely by Apple through your Apple ID — Nordy never sees a password and has nothing to recover. Nordy holds only the opaque identifier Apple issues, and it is stored on your device. Keep your Apple ID secure; activity through Sign in with Apple on your device is your responsibility.

Your Nordy content — habits, quests, focus sessions, streaks, oaths, calendar entries and Ward rules — is stored on your device and nowhere else. We operate no server and cannot recover anything if you lose access to your device, and signing in with Apple on a new device gives you a fresh account, not your history. Keeping a device backup is the only way to preserve it.

You may delete your account at any time inside the app under Settings → Delete account. This erases your account and all your data on the device. There is no server-side record to delete. Deletion is immediate and permanent.

6. Subscriptions, free trial, and payment

Nordy requires a paid subscription ("Nordy Premium") purchased inside the app through Apple as an auto-renewable subscription. There is no free version of Nordy. Beyond the free trial described in §6.2, an active subscription is required to use the app.

6.1 What you get

A subscription gives you all of Nordy, with no feature held back:

• unlimited habits, with no cap on how many you track;
• your full logged history, for as long as you keep it;
• every focus scene in the rotation;
• the Ward, which shields apps you choose during your own focus sessions;
• unlimited reminders, at the times you choose;
• everything added to Nordy during your subscription.

Nordy Premium is sold as one product on two billing periods, and both give the same features:

Prices outside the United States are set by Apple's storefront pricing for your region and are the ones shown to you at the point of purchase. Where the price displayed in the app differs from the one Apple presents on the purchase sheet, Apple's is the price you pay.

6.2 Free trial

New subscribers are offered a 7-day free trial. Terms:

• The trial begins when the subscription is confirmed, and gives full access to Nordy for its duration.
• When the trial ends and is not converted to a paid subscription, access to Nordy ends. Your data — habits, history, streaks and settings — stays on your device and is restored if you subscribe later.
• Unless you cancel at least 24 hours before the trial ends, it converts automatically into a paid subscription and your Apple ID is charged the price stated at purchase.
• Any unused portion of a free trial is forfeited if you buy a subscription during the trial period, where the law permits.
• Free trials are limited to one per user or Apple ID family group, and eligibility is determined by Apple.

6.3 Auto-renewal

• Payment is charged to your Apple ID account at confirmation of purchase.
• The subscription renews automatically unless auto-renewal is turned off at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours before the end of the current period, at the then-current price.
• You can manage or cancel your subscription, and turn off auto-renewal, in your Apple ID account settings after purchase. Deleting the app does not cancel a subscription.

6.4 Price changes

We may change prices. Where required, Apple will notify you and seek your consent before a higher price takes effect; otherwise the change applies from the next renewal. You can cancel before it takes effect.

6.5 Refunds

Purchases are processed by Apple, and refunds are handled by Apple under the App Store Terms of Service, not by us. You can request one at reportaproblem.apple.com. Where you have a statutory right of withdrawal or cancellation under consumer law — for example the 14-day right in the EU and UK — that right is unaffected by anything in these Terms.

6.6 Restore

You can restore an existing subscription on a new device using Restore Purchases in the app.

7. Health, wellbeing, and no professional advice

Nordy is a habit, focus, and motivation app. It is not a medical device and does not provide medical, psychological, therapeutic, or professional advice. Its content, suggestions, streaks, rewards and any wellbeing-related language are for general informational and motivational purposes only.

Nordy is not intended to diagnose, treat, cure, or prevent any disease or condition, including any attention, mood, anxiety, compulsive, or addictive condition.

Never disregard professional advice, or delay seeking it, because of something in Nordy. If you have or suspect a medical or mental-health condition, consult a qualified professional. If you are in crisis, contact your local emergency services.

You use Nordy at your own discretion and risk, and you are solely responsible for decisions you make about your own health, work, sleep, and time.

8. The Ward, focus sessions, and reminders

You acknowledge and agree that:

• The Ward is a self-control aid, not a security or parental-control guarantee. It depends on Apple's Screen Time frameworks and can be turned off, bypassed, or reset by anyone who can unlock your device. It must not be relied on to protect a child, an employee, or anyone else, or as a safeguard in any situation where failure could cause harm.
• Apple's frameworks impose limits we do not control, including a minimum 15-minute scheduling interval, which means a shield may not resume at the exact second you expect.
• Shielding may not apply in the iOS Simulator, on unsupported OS versions, or where Screen Time authorization has not been granted.
• Focus sessions silence only Nordy's own reminders. iOS does not permit any third-party app to suppress notifications from other apps or to enable Do Not Disturb on your behalf. Use your device's Focus settings for that.
• Reminders are local notifications and may not be delivered, may be delayed, or may be suppressed by iOS — for example in Low Power Mode, in a Focus mode, when notifications are restricted, or when the device is off. Do not rely on Nordy for anything time-critical, medical, or safety-related.

9. Availability and changes

We may add, change, suspend, or discontinue any part of Nordy, and may release updates, at any time. We may stop supporting older versions or operating systems. We do not guarantee uninterrupted or error-free operation.

10. Disclaimer of warranties

To the maximum extent permitted by law, Nordy is provided "as is" and "as available", without warranty of any kind, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that Nordy will meet your requirements, that it will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any result will be achieved. No advice or information, oral or written, obtained from us creates any warranty not expressly stated here.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing here limits rights that cannot be limited under mandatory consumer law where you live.

11. Limitation of liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, or anticipated savings, however caused and on any theory of liability, even if we have been advised of the possibility.
• We are not liable for loss or corruption of data stored on your device, for missed or undelivered notifications, or for any consequence of the Ward failing to shield an app.
• Our total aggregate liability arising out of or relating to Nordy or these Terms is limited to the greater of (a) the amount you paid us for Nordy in the twelve months before the event giving rise to the claim, or (b) USD 50.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you, and your statutory consumer rights are unaffected.

12. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless SIXSIDE MARKETING INC., its officers, employees, and agents from any claim, liability, loss, and reasonable legal cost arising out of your misuse of Nordy, your breach of these Terms, your violation of any law, or your infringement of any third party's rights. This does not apply to the extent a claim arises from our own breach or negligence.

13. Termination

You may stop using Nordy at any time and delete it. We may suspend or terminate your licence if you materially breach these Terms, or if we are required to by law. Sections 3, 4, 7, 8, 10, 11, 12, 14 and 15 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. The courts of the Province of Ontario have exclusive jurisdiction, except that if you are a consumer, you may bring proceedings in the courts of the country where you live, and you keep the protection of that country's mandatory consumer law.

We do not require arbitration. Disputes are resolved in court, subject to the consumer right above.

Nothing in this section limits your rights under the Consumer Protection Act, 2002 (Ontario) or equivalent consumer legislation where you live.

15. Apple

You acknowledge that these Terms are between you and us only, not with Apple, and that Apple is not responsible for Nordy or its content.

• Apple has no obligation to furnish any maintenance or support for Nordy.
• If Nordy fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to Nordy.
• Apple is not responsible for addressing any claim by you or a third party relating to Nordy or your possession or use of it, including product liability claims, any claim that Nordy fails to conform to a legal or regulatory requirement, and claims under consumer protection or similar legislation.
• Apple is not responsible for the investigation, defence, settlement, or discharge of any third-party intellectual property infringement claim relating to Nordy.
• You represent that you are not located in a country subject to a US Government embargo or designated as "terrorist supporting", and that you are not on any US Government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
• Any questions, complaints, or claims about Nordy should be directed to nordydevapp@gmail.com.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us about Nordy. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger or sale of assets.

We may update these Terms. If a change is material, we will notify you in the app before it takes effect. Continuing to use Nordy after that means you accept the updated Terms.
